OwlScope is a secure AI-powered chat platform that enables organizations to:

• Upload and organize company documents in isolated workspaces
• Query documents using natural language AI chat
• Enforce workspace-level access controls and permissions
• Monitor and control AI usage across teams
• Receive AI-generated responses with source citations

The Service uses third-party AI models (such as GPT-4 and Claude) to provide intelligent document retrieval and question-answering capabilities.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent that you meet these requirements.

3.2 Account Creation

To access the Service, you must create an account by providing:

• A valid email address
• Your full name
• Company or organization name
• A secure password

3.3 Account Security

4.2 Free Trial

We may offer a 7-day free trial for new accounts. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.3 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are in USD unless otherwise stated
• Payments are non-refundable except as required by law
• We charge only for active users (users who log in during the billing period)
• You can add or remove users at any time; changes take effect in the next billing cycle

• Overload or disrupt the Service infrastructure
• Upload content that infringes intellectual property rights
• Use the Service for spam, phishing, or fraudulent activities

6. Content Ownership and Licensing

6.1 Your Content

You retain all ownership rights to documents, files, and data you upload ("Your Content"). By uploading content, you grant us a limited license to:

• Store, process, and index Your Content
• Transmit relevant excerpts to third-party AI providers for generating responses
• Display Your Content to authorized users within your workspaces
• Create backups for disaster recovery

This license terminates when you delete Your Content or close your account.

6.2 Our Service

The Service, including its design, features, code, and trademarks, is owned by ScopeNest and protected by copyright and other intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

6.3 AI-Generated Content

Responses generated by the AI are provided "as-is" and may contain inaccuracies. You are responsible for verifying AI-generated information before relying on it for business decisions.

7. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

Key points include:

• Your documents are never used to train AI models
• All data is encrypted at rest and in transit
• Workspaces are logically isolated with strict access controls
• You can export and delete your data at any time

8. Service Availability and Support

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Third-party service outages (AI providers, cloud infrastructure)
• Events beyond our control (force majeure)

8.2 Support

Support levels vary by plan:

• Early Adopter: Email support with 48-hour response time

9. Disclaimers and Limitations of Liability

• All documents will be correctly indexed or searchable
• The Service will be error-free or uninterrupted

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPENEST SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Costs of procuring substitute services
• Damages resulting from AI inaccuracies or service interruptions

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless ScopeNest, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Violation of these Terms
• Infringement of any third-party rights
• Content you upload or transmit through the Service
• Actions of other users in your organization with accounts you manage

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting support.

11.2 By Us

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security or legal risk

11.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately (unless termination occurs mid-billing cycle)
• You have 30 days to export your data
• We delete all your data after 30 days

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScopeNest.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• No Waiver: Failure to enforce any right or provision does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign them to any successor or affiliate.
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
